The Platform enables buyers and sellers to:

• Negotiate independently

OldMachine is not the owner, reseller, broker, auctioneer, dealer, transporter, warehouse operator, financier, inspection agency or payment intermediary unless expressly stated otherwise.

3. Definitions

• Buyer: any person browsing or purchasing machinery.
• Seller: any business or individual listing machinery.
• Listing: any machine advertisement published on the Platform.
• Platform: OldMachine.
• User: every visitor, buyer or seller.

4. Eligibility

Users must:

• Be at least 18 years old.
• Have legal capacity to enter contracts.
• Provide accurate information.
• Use the Platform only for lawful business purposes.

Business entities must ensure that the registering person has authority to bind the organization.

5. User Account

Users are responsible for:

• Account security
• Password confidentiality
• Accuracy of submitted information
• Activities performed through their account

OldMachine may suspend accounts containing inaccurate or misleading information.

6. Seller Verification

OldMachine may verify:

• GST registration
• Business identity
• Contact information
• Business reachability

Verification only confirms the information reviewed by OldMachine during onboarding.

7. Seller Responsibilities

Every seller agrees to:

• Publish only genuine listings.
• Describe machinery honestly.
• Upload actual photographs.
• Disclose known defects.
• Maintain updated contact information.
• Comply with all applicable laws.

Sellers represent that they have the legal right to advertise and sell the listed equipment.

8. Buyer Responsibilities

Buyers are solely responsible for:

• Verifying specifications
• Visiting the seller's premises where appropriate
• Inspecting machinery
• Confirming ownership
• Confirming GST information
• Negotiating commercial terms
• Conducting due diligence before payment

OldMachine strongly recommends physical inspection before any purchase decision.

9. Marketplace Role

OldMachine provides technology services only.

OldMachine does not:

• Own machinery
• Buy machinery
• Sell machinery
• Inspect machinery
• Guarantee listings
• Guarantee pricing
• Guarantee availability
• Guarantee seller performance
• Participate in negotiations

Transactions occur directly between buyers and sellers.

10. Payments

OldMachine does not receive or hold payment for machinery transactions unless expressly stated for a specific service.

Payment arrangements are agreed directly between buyer and seller.

OldMachine is not liable for:

• Non-payment
• Payment fraud
• Banking disputes
• Escrow disputes
• Chargebacks
• Financial losses

11. Logistics

Transportation, dismantling, loading, insurance, documentation, installation and commissioning remain the responsibility of buyers and sellers.

OldMachine is not responsible for delays, damages or losses occurring during transportation.

12. Pricing

Prices displayed on listings are determined solely by sellers.

OldMachine does not verify:

• Market value
• Price accuracy
• Negotiated price
• Taxes
• Shipping charges

Prices may change without notice.

13. Listing Content

Users may not upload content that is:

• False
• Fraudulent
• Illegal
• Misleading
• Infringing
• Offensive
• Spam

OldMachine may edit, suspend or remove listings without prior notice.

14. Prohibited Activities

Users shall not:

• Misrepresent equipment
• Use fake identities
• Upload copyrighted content without permission
• Circumvent verification
• Harvest data
• Introduce malware
• Interfere with platform security
• Manipulate enquiries
• Conduct fraudulent transactions

15. Intellectual Property

All website content including logos, graphics, trademarks, software, source code and branding remain the exclusive property of Prosperiq India Private Limited unless otherwise stated.

Users receive only a limited, non-exclusive, revocable licence to access the Platform.

16. User Content

Users retain ownership of uploaded content.

However, by uploading listings, photographs or specifications, users grant OldMachine a worldwide, royalty-free licence to:

• Reproduce
• Distribute
• Promote
• Archive

such content for operating and marketing the Platform.

17. Fraud Prevention

OldMachine reserves the right to:

• Suspend listings
• Suspend sellers
• Suspend buyers
• Request additional verification
• Investigate complaints
• Cooperate with law enforcement agencies

Repeated complaints may result in permanent account suspension.

18. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

OldMachine makes no warranty regarding:

• Machine quality
• Machine safety
• Merchantability
• Fitness for purpose
• Title
• Availability
• Seller conduct
• Buyer conduct
• Listing accuracy
• Continuous platform availability

19. Limitation of Liability

To the maximum extent permitted by law, OldMachine shall not be liable for:

• Direct losses
• Indirect losses
• Consequential losses
• Business interruption
• Lost profits
• Fraud by third parties
• Equipment defects
• Payment disputes
• Delivery failures
• Installation issues
• Production losses
• Personal injury arising from machinery purchased through the Platform

20. Indemnity

Users agree to indemnify and hold harmless Prosperiq India Private Limited, its directors, officers, employees and affiliates against any claim, liability, demand, loss or expense arising from:

• Transactions
• User misconduct
• Violation of these Terms
• Violation of applicable law

21. Termination

OldMachine may suspend or terminate any account without notice where:

• Fraud is suspected.
• Verification fails.
• These Terms are violated.
• The Platform is abused.

22. Privacy

Collection and processing of personal information are governed by the OldMachine Privacy Policy.

23. Modifications

OldMachine may modify these Terms at any time.

Continued use of the Platform after publication of revised Terms constitutes acceptance of the revised Terms.

24. Governing Law

These Terms shall be governed by the laws of India.

Any dispute shall be subject to the exclusive jurisdiction of the competent courts having jurisdiction over the registered office of Prosperiq India Private Limited.
